Director conduct and misfeasance claims

Accused of Misfeasance or Misusing Company Money?

An allegation is not a finding. When a liquidator or another party challenges director conduct, we help separate the alleged acts, relevant duties, disputed sums and evidence into a clear working case.

What does the allegation actually say?

Misfeasance allegations can concern breach of duty, misapplication of company property or other alleged misconduct. The specific legal basis, period, role and loss asserted must be identified. A disputed loan balance and a breach-of-duty allegation should not be conflated.

Reconstruct decisions and transactions

Build a dated schedule of payments, recipients, bank references, ledger postings, approvals, board decisions, expenses and relevant advice. Identify records that support or contradict each allegation, and make uncertainties explicit.

Separate each director's involvement

Document appointment periods, delegated functions, access to banking, decisions personally taken, board records and communications. Delegation and lack of access may be relevant facts but do not automatically determine legal responsibility.

What to provide

The claim or pre-action correspondence, schedule of alleged losses, accounting records, bank transactions, company minutes, professional correspondence, relevant contracts and any procedural notice.

What we prepare

An allegation-by-allegation evidence matrix, chronology, transaction schedule, document index, factual briefing and information-gap list. An authorised legal adviser should assess legal defences, litigation strategy and court steps.

Independent case preparation — important boundaries

Wolfe & Black is an independent case-preparation consultancy, not a firm of solicitors, an insolvency practitioner or a regulated tax adviser. We do not undertake reserved legal activities, conduct litigation, exercise rights of audience or guarantee outcomes. Seek appropriately qualified legal, insolvency or tax advice where required.

One investigation or demand can overlap with other issues. Identify each notice and deadline separately. We can help organise the records and allegations for an initial assessment.

Independent non-reserved case preparation, not a solicitor's practice. If proceedings or formal response deadlines apply, seek appropriately authorised legal advice promptly. An enquiry does not suspend a deadline.
